Terms of Sale
These terms govern every order placed with Essential Bio Labs. Placing an order means you accept them.
1. Research use only
All products supplied by Essential Bio Labs are sold strictly as research chemicals for in vitro laboratory research and analytical use. They are not drugs, foods, dietary supplements, cosmetics, or medical devices. They are not intended to diagnose, treat, cure, or prevent any disease, and are not for human or veterinary consumption, ingestion, injection, or topical application.
No statement made by Essential Bio Labs, on this website or elsewhere, should be read as a claim of therapeutic effect or as guidance for use in humans or animals.
2. Who may buy
By placing an order you represent that you are at least 21 years of age, that you are acquiring the material for legitimate laboratory research, and that you are qualified — or are ordering on behalf of an organization whose personnel are qualified — to handle, store, and dispose of research chemicals safely.
3. Buyer responsibility
You are solely responsible for determining that any material you purchase is lawful for you to possess and use in your jurisdiction, and for compliance with all applicable federal, state, and local laws and institutional requirements. You are responsible for safe handling, storage, containment, and disposal after delivery.
You agree not to resell, redistribute, or supply any material purchased from us for human or veterinary consumption, or to represent it as fit for such use.
4. Orders, pricing, and acceptance
Prices are shown in US dollars and are exclusive of shipping. Prices and product availability may change without notice. Submitting an order is an offer to buy; a contract is formed only when we accept the order and dispatch it. We may decline or cancel any order, in whole or in part, at our discretion — including where we cannot verify the purchaser, where the order appears intended for a prohibited use, or where a product has been listed at an incorrect price. Where we cancel a paid order, we refund it in full.
5. Payment
Payment is due in full before dispatch. Orders are prepared once payment has cleared.
6. Shipping, title, and risk
We ship within the United States only, by USPS Priority Mail. Title and risk of loss pass to you on delivery by the carrier. Our Shipping & Returns page forms part of these terms.
7. Returns
All sales are final. We replace or refund orders that are incorrect, damaged in transit, or that do not correspond to the certificate of analysis supplied with the lot, on the terms set out in Shipping & Returns.
8. Analytical documentation
Each lot is released against an independent certificate of analysis, available on request. The certificate describes the material as tested at the time of release. It is not a warranty of performance in your assay, of stability after delivery, or of suitability for any particular research application.
9. Disclaimer of warranties
Except as expressly stated in these terms, products are supplied as is, without warranty of any kind, whether express or implied, including any implied warranty of merchantability or fitness for a particular purpose. You are responsible for validating any material for your own application before relying on it.
10. Limitation of liability
To the fullest extent permitted by law, Essential Bio Labs is not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost research time, lost data, or lost profits, arising from the purchase or use of any product. Our total liability for any claim relating to an order will not exceed the amount you paid for that order.
11. Indemnity
You agree to indemnify Essential Bio Labs against any claim, loss, or expense arising from your handling, storage, use, or disposal of material purchased from us, or from your breach of these terms.
12. Governing law
These terms are governed by the laws of the State of California, without regard to conflict of law rules. Any dispute will be brought in the state or federal courts located in California.
13. Changes
We may update these terms. The version published at the time you place an order governs that order.
